Loyalty Program - Terms & Conditions

1. Membership Eligibility and Overview

1.1. The New Directions Aromatics Inc. Loyalty Program (the “Program”) is a customer appreciation program offered by New Directions Aromatics Inc. (“New Directions Aromatics Inc.”, “NDA”, “we”, “our” or “us”). It is designed for individual customers purchasing for personal or business use and is limited to one account per person. The Program is not intended for resellers that participate on behalf of groups, corporations, or associations. To join, you must be a legal resident of Canada, have reached the age of majority in your province, state, or territory of residence, and maintain a valid email address. No purchase is required to enroll. We reserve the right to decline, suspend, or close an account at our discretion, including in cases of suspected misuse or fraud. 


1.2. By enrolling in the Program, you (“you”, “your”, or “Member”) acknowledge that you have read, understood, and agree to be bound by these Program Terms and Conditions (the “Program Terms”), as well as any updates we may make from time to time. These Program Terms supplement, and do not replace, any other terms or conditions that apply to your use of our website or to your purchase of products and services from us. By joining, you also agree to our website Privacy Policy, which is incorporated by reference into these Program Terms. If you do not agree to these Program Terms or our Privacy Policy, you must not participate in the Program. The Program is void where prohibited by law.​ 

2. Program Enrollment

2.1. Eligible individuals may enroll in the Program by creating an account through our website (the “Site”) and following the prompts to join the loyalty program. Enrollment methods or channels may be updated from time to time and will be communicated on the Site.​ 


2.2. To set up your loyalty account, you must provide at minimum your email address and phone number, and you may also be asked for your name , purchasing behavior questions, and other optional details such as your birthday month and day. You are responsible for ensuring that your information is accurate, complete, and kept up to date through your online account. 


2.3. Only one Program account may be associated with a single Member and a single email address. If there is a dispute about who owns an account, we may consider the authorized account holder to be the person who controls the email address used at registration, as assigned by the relevant email service provider or organization. We may merge, suspend, or close duplicate accounts at our reasonable discretion.​ 


2.4. If you wish to receive early notice of promotions, product launches, and other marketing communications related to the Program, you must provide the required marketing consent (for example, by opting in to email or SMS communications). You can update your communication preferences at any time using the tools provided on the Site or within our messages. 

3. How the Program Works 

3.1. The Program allows you to collect loyalty points, called “Drops”, when you purchase eligible products or complete certain qualifying activities described on the Site. As your Drops balance grows, you may unlock discounts, offers, or other rewards made available from time to time (“Rewards”). The types of activities that earn Drops and the Rewards available may change periodically and may be time-limited or quantity-limited. 


3.2. The Program currently features one tier (“Essentials”). All Members are automatically placed in this tier upon joining. Unless otherwise stated on the Site, Drops are earned on eligible net purchases (after applicable discounts and before taxes and shipping) made through NDA’s online channels and are calculated on a rolling 12-month basis from the date your loyalty account becomes active (“Qualifying Purchases”). You must be logged into your account at the time of purchase or complete any specified identification steps for Drops to be credited. Drops expire 12 months after accrual unless redeemed. When you convert Drops into a Reward coupon, that coupon will be valid for 30 days from the date of issuance, unless a different expiry date is stated in the offer details. After the expiry date, unused coupons will automatically be void and the Drops used to create the coupon will not be returned to your account. You must be logged into your account at the time of purchase or complete any specified identification steps for Drops to be credited. 


3.3. Unless otherwise stated on the Site, Members earn 1 Drop for every $1 in Qualifying Purchases. Certain items, such as gift cards, taxes, duties, shipping charges, or other excluded charges identified on the Site, do not earn Drops. Drops earned on an order will be allocated once payment has been made and the order is no longer subject to standard cancellation, at which point Drops become available for redemption. 


3.4. To keep your Drops balance active, you must complete at least one Qualifying Purchase in any 12month period. If no Qualifying Purchase is made during that time, your Drops may expire and your balance may reset to zero, as indicated on the Site or in your account dashboard. Your tier (currently Base Member) will remain active so long as your account is in good standing and not closed or suspended under these Program Terms.​ 


3.5. From time to time, NDA may offer additional opportunities to earn Drops for specific actions such as creating an account profile, signing up for marketing communications, completing surveys, participating in events, or other activities specified on the Site or in our communications. Any such opportunities, and the Drops awarded for them, are subject to change, time limits, annual caps, or other conditions in our sole discretion. 

4. Program Benefits, Rewards and Drops 

4.1. As a Member, your Drops can be redeemed for Rewards once you meet the minimum thresholds shown in your account or at checkout. Drops have no cash value, are not redeemable for cash, and may only be used in the manner described in these Program Terms and on the Site. To view and redeem your available Rewards, you must be logged into your account. From time to time, we may notify you of Reward opportunities by email or other permitted communication channels, provided you have not opted out. 


4.2. Drops, Rewards, and Program benefits are personal to you and cannot be sold, assigned, transferred, or shared with other individuals or accounts. Only the Member identified on the account may earn or redeem Drops associated with that account. We reserve the right to monitor accounts for unusual activity and to suspend or close accounts where we reasonably believe there is abuse, fraud, or violation of these Program Terms.​ 


4.3. If your purchase is returned, cancelled, or refunded, the Drops originally earned on that transaction will be deducted from your balance. If you redeemed Drops or a Reward on a purchase that is later returned or cancelled, we may also adjust your Drops or Reward balance accordingly. In cases of suspected misuse or fraudulent activity, we may reverse Drops and/or cancel Rewards at our discretion.​ 


4.4. Rewards issued under the Program cannot be exchanged or returned for additional Drops, other products, or monetary refunds, unless otherwise required by applicable law or clearly stated in the specific Reward’s terms. Certain Rewards may be subject to minimum purchase thresholds, brand or product exclusions, or expiry dates. Any additional conditions will be outlined on the Site or within the offer details. 


4.5. Products and services made available through the Program are intended to support makers, formulators, and brands; however, the resale of Rewards, free items, samples, or promotional items obtained through the Program in any manner inconsistent with our general sales terms is not permitted. We may limit quantities, cancel orders, or remove benefits where we reasonably believe the Program is being used for unauthorized resale or exploitation. 


4.6. NDA is not responsible for Drops or Rewards that are lost, expired, deleted, or redeemed as a result of unauthorized access to your account where we have followed commercially reasonable security procedures. You are responsible for maintaining the confidentiality of your login credentials and for promptly notifying us of any suspected unauthorized use of your account.​ 


4.7. We may, from time to time, update the way Drops are earned or redeemed, modify or discontinue specific Rewards, adjust thresholds, or introduce new tiers or benefits. Where required by applicable law, we will provide notice of material changes. Continued participation in the Program after changes take effect constitutes your acceptance of the revised Program Terms.

 
4.8. Coupon and Promotion Limits 
Coupons, discount codes, and loyalty Reward vouchers issued by New Directions Aromatics Inc. are subject to additional terms stated on each offer. Unless expressly stated otherwise, a maximum of two (2) coupons or discount codes may be used in a single transaction. Coupons have no cash value, cannot be applied to previous purchases, and may not be combined with other promotions beyond this limit.

5. Marketing Communications 

5.1. When you enroll, you may be asked whether you wish to receive marketing communications related to NDA products, services, and the Program. Where you provide the necessary consent, we may send you emails, SMS messages, or other digital communications about promotions, new launches, educational content, and loyalty offers. You can withdraw your consent at any time using the unsubscribe links or preference tools provided in our communications, subject to applicable law. 


5.2. Even if you opt out of marketing communications, we may still send you nonmarketing messages relating to your account and the Program, such as account updates, confirmations of Drops earned or redeemed, and notices about changes to these Program Terms, as permitted by applicable law.​ 

6. Changes, Suspension and Termination 

6.1. The Program and its features are offered at our discretion and may be modified, suspended, or discontinued in whole or in part, subject to applicable law. We may also update these Program Terms from time to time. Where required, we will provide notice of material changes by posting the revised terms on the Site or by another reasonable method.​ 
6.2. We may suspend or terminate your participation in the Program if we determine that you have breached these Program Terms, engaged in fraud or misuse, or acted in a manner that is inconsistent with the spirit of the Program. If your membership is terminated, your Drops and any unused Rewards may be forfeited, subject to applicable law. 
6.3. You may cancel your membership at any time by contacting our Customer Service team using the contact details listed on our Site. Once your membership is cancelled, your Drops and Rewards balance will be closed and cannot be reinstated, unless otherwise required by law. 

7. Governing Law 

Except where local consumer protection laws require otherwise (including in certain Canadian provinces and U.S. states), these Program Terms and the operation of the Program are governed by the laws of the province of Ontario and the federal laws of Canada applicable therein.
